Two details that separate this from a typical construction spec: the employers’ liability limits are $1M across all three sub-limits (most WC policies default to $100K/$500K/$100K), and the umbrella itself must be endorsed primary and non-contributory — a condition many umbrella forms don’t include off the shelf.
The E&O Requirement — The One That Surprises Everyone
Volks subvendors must carry $1,000,000 per claim / $2,000,000 aggregate Professional Liability covering all services under the agreement. If your background is construction subcontracting, you’ve probably never bought this policy — GL covers bodily injury and property damage, but a fiber route designed over the wrong easement, a pole loading calculation that fails, or a switch misconfiguration that takes down a customer network are economic loss from professional error. Only E&O responds.
Most E&O is written claims-made. Volks requires the retroactive date to precede the start of services and the coverage to be maintained for two years after completion. Buy the policy after you start, or drop it when the job ends, and you are both out of compliance and personally exposed to late-reported claims. Set the retro date at binding and budget for the two-year tail from day one.

Endorsements & Certificate Mechanics
The endorsement stack:
- Additional insured — Volks Resources LLC on both CGL and auto (CG 20 10-series endorsements on the GL, not description-box text)
- Waivers of subrogation — on workers’ comp and CGL
- Primary & non-contributory — on the CGL and the umbrella
- CG 00 01 form — the standard ISO occurrence form with contractual liability; watch for manuscript forms or absolute exclusions that break equivalence
The clock: certificates are due within ten days of the effective date and before work under any work order. Renewal certificates must arrive before policies expire — not after a lapse. And you owe 30 days written notice of cancellation, non-renewal, or material reduction (10 days for non-payment). Miss the renewal certificate and your work orders stop.
The Lower-Tier Flow-Down
If you use lower-tier subs or independent contractors on Volks work, they must carry the same coverages and the same limits — all six lines, including the E&O — and you must produce proof when Volks asks. This is the clause that catches growing shops: your 1099 field techs carrying GL-only policies are your compliance gap, and an audit request lands on you, not them. Collect certificates from every lower tier before they touch a work order, and calendar their renewal dates alongside your own.
The Indemnification Your Insurance Has to Back
The indemnification runs broad: you defend and hold harmless Volks, its officers, employees, agents, and its clients from claims arising out of your performance, negligence, bodily injury or property damage you cause, contract breach, or legal violations — including attorneys’ fees. Volks indemnifies you only for its own gross negligence or willful misconduct. In practice that means the risk allocation runs almost entirely toward you.
Your backstop is the contractual liability coverage inside CG 00 01 — it picks up the bodily injury and property damage portion of that assumed indemnity. What it does not cover: your indemnity for pure economic losses, which loops back to why the E&O matters, and why the limits you carry should reflect the programs you’re working, not just the contract minimums.
Action Checklist Before You Sign
- Quote all six lines together — package placement earns credits and avoids endorsement conflicts between carriers
- Confirm your EL sub-limits are $1M/$1M/$1M, not the defaults
- Set the E&O retro date before your effective date; budget the 2-year tail
- Get the umbrella’s primary & non-contributory endorsement in writing
- Verify every carrier is A.M. Best A-VII or better
- Collect matching certificates from every lower-tier sub before mobilizing
- Calendar: COI within 10 days, renewals before expiry, 30-day notice obligations
